These Terms of Use (“Terms”) were last updated on November 15, 2024.
Please review these Terms carefully as they serve as an enforceable contract between us and contain important information about your legal rights, remedies, and obligations.
By agreeing to these terms, you consent to resolve all disputes with Abia State University E-Learning Platform through small claims court or binding individual arbitration only. You waive the right to participate in any class actions and to have claims decided by a jury, as outlined in the Dispute Resolution section.
1. Accounts
You need an account to access most activities on our platform. Keep your password secure, as you are responsible for all activity linked to your account. If you suspect unauthorized use, contact our Support Team immediately. To use Abia State University E-Learning Platform, you must be a registered student of this institution.
You need an account for most activities on our platform, including accessing courses and submitting course materials. When creating and maintaining your account, you must provide accurate and complete information, including a valid email address. You are fully responsible for all activity on your account, including any harm or damage caused by unauthorized use. Keep your password secure and do not share your login credentials with anyone. You may not transfer or use another person’s account. If you suspect unauthorized access, contact our Support Team immediately.
Only registered students of Abia State University can have an account on the platform. Instructors must be lecturers at the university. If we find that an account violates these rules, we will terminate it. Instructors may be required to verify their identity before being authorized to submit course materials.
In the event of a user’s death, expulsion or termination of appointment, the account will be closed. You can terminate your account at any time—refer to our Privacy Policy for details on what happens after termination.
2. Content Enrollment
When you enroll in a course or other content on the Abia State University E-Learning Platform, you receive a license to access and view it through our services only. You may not transfer, resell, or distribute the content in any way. Access to courses is granted for the duration of your enrollment as a registered student, except in cases where content must be removed due to legal or policy reasons.
Under our Instructor Terms, when instructors publish content on the Abia State University E-Learning Platform, they grant the university a license to offer the content to students. As a student, when you enroll in a course or content (whether free or paid), you receive a license from the platform to access and view the content solely through the platform and its services. The content is licensed to you, not sold. This license does not allow you to resell, share, or distribute the content, including via account sharing or illegal downloading.
In legal terms, Abia State University grants you a limited, non-exclusive, non-transferable license to access and view the content you’ve paid for, exclusively for your personal, non-commercial, educational use. All other uses, such as reproduction, redistribution, transmission, selling, modification, or creation of derivative works, are prohibited unless explicitly permitted by a signed agreement with the university.
While we generally provide lifetime access to course content, we reserve the right to revoke this access if we are required to disable content due to legal or policy reasons, such as copyright issues or violations of our Trust & Safety Guidelines. This lifetime access does not apply to enrollments via Subscription Plans or additional services, such as instructor support or Q&A, which may be discontinued at the instructor’s discretion. Instructors may not grant licenses to their content directly to students, and any such direct licensing will be considered a violation of these terms.
Note: All courses on the Abia State University E-Learning Platform have an expiry date. Access to the content will be available only until the specified date, after which it will no longer be accessible.
3. Payments, Credits, and Refunds
When you make a payment, you agree to use a valid payment method. If you accidentally make a double payment, you are eligible for a refund within 2 working days from the time you apply for the refund.
3.1 Pricing
The prices of content on the Abia State University E-Learning Platform are determined based on our Instructor Terms. Prices may vary between the website and mobile/TV applications due to platform policies. We may offer promotions with discounted content for a limited time, and the price at checkout is the applicable price. Prices may also differ for 100 level students versus final year students. VAT, may be included in the price or added at checkout.
3.2 Payments
You agree to pay the fees for content you purchase and authorize us to charge your payment method. We work with payment providers to offer secure payment methods. If your payment fails, you are still responsible for the fees and must pay within 2 days of notification. We reserve the right to disable access to content if payment is not received.
3.3 Refunds and Refund Credits
If the content you purchased does not meet your expectations, you can request a refund within 24 hours of purchase. This does not apply to Subscription Plan purchases. Refunds may be issued as credits or back to your original payment method, depending on the platform and payment provider. After the 24 hours limit, no refund is due unless the content is disabled for legal or policy reasons, or in cases of fraud. Refunds may not be issued if you’ve already consumed a significant portion of the content. Repeated refund requests may result in restrictions on future refunds.
4. Content and Behavior Rules
You can only use the Abia State University E-Learning Platform for lawful purposes. All content submitted by lecturers must be verified before being converted into animated courses. Once created, all animated course materials belong to the university. You are responsible for ensuring that any content you post, including reviews, questions, and other materials, complies with our Trust & Safety Guidelines and applicable laws, including respecting the intellectual property rights of others. Repeated or serious violations may result in account suspension or banning. If you believe someone is infringing on your copyright on our platform, please report it to us immediately.
You may not access or use the Abia State University E-Learning Platform for unlawful purposes. Your use of the platform must comply with all applicable local and national laws and university regulations. You are solely responsible for understanding and complying with these laws.
If you are a student, the platform allows you to engage with assigned lecturers by asking questions and submitting coursework. Do not submit or post any content that is not your own.
If you are a lecturer, you may submit course materials for verification before they are converted into animated content. All animated courses belong to the university. You may also communicate with enrolled students. You must ensure that all submitted content complies with copyright laws, university policies, and academic integrity guidelines.
If any content is found to violate laws, university policies, or intellectual property rights, the university may remove it. Repeated violations may lead to suspension or permanent removal from the platform. The university has sole discretion in enforcing these policies and may restrict or terminate access without notice if necessary.
If you believe your intellectual property rights have been infringed on the platform, report the issue immediately. All instructors are required to follow university guidelines and respect intellectual property laws.
5. Abia State University’s Rights to Content You Submit
By submitting content to the Abia State University E-Learning Platform, you grant the university full rights to review, modify, and convert your materials into animated courses. All animated course content derived from submitted materials becomes the sole property of the university.

Before any submitted material is converted into an animated course, it must go through a verification process to ensure accuracy, compliance with academic standards, and alignment with the university’s educational goals. The university has full discretion to accept, reject, or modify submitted content as necessary.
Instructors do not retain ownership rights over animated course materials once they have been created. The university also reserves the right to update, enhance, or remove any animated content at any time. If a submission is found to contain inaccuracies, violate copyright laws, or breach university policies, it may be rejected or removed.
By submitting content, you acknowledge and agree that all animated courses created from your materials are the intellectual property of Abia State University and cannot be redistributed without authorization.
6. Abia State University’s Rights
Abia State University owns and retains all rights to its E-Learning Platform, including the website, applications, services, and all associated intellectual property. This includes, but is not limited to, the platform’s design, logos, software code, system architecture, and any content created or developed by university staff.
Additionally, all animated courses generated from lecturers’ materials are the exclusive property of the university. Instructors do not retain ownership rights over these animated courses once they have been produced. The university reserves the right to modify, distribute, or remove any content as needed.
You may not alter, copy, reproduce, distribute, or use any part of the university’s platform, branding, or content without express written permission. Unauthorized use, tampering, or infringement of the university’s intellectual property rights may result in legal action.
All rights, title, and interest in the Abia State University E-Learning Platform and its services—including the website, future applications, databases, APIs, and all content created by university staff—remain the exclusive property of the university. Any course materials provided by lecturers must be vetted before being converted into animated courses, and all such animated courses are owned solely by the university.
The platform and services are protected by copyright, trademark, and other applicable laws. No individual or entity has the right to use the university’s name, logos, trademarks, or any distinctive brand features without prior authorization. Any feedback, suggestions, or comments regarding the platform may be used by the university without obligation to the provider.
You may not:
- Access, modify, or tamper with non-public areas of the platform, including databases and content storage.
- Circumvent security measures or probe system vulnerabilities.
- Copy, modify, reverse-engineer, or attempt to discover the platform’s source code.
- Use unauthorized methods, including automated tools, to access or search the platform.
- Interfere with the platform’s operation through hacking, spamming, or sending malicious content.
Violations may result in access restrictions, legal action, or other penalties.
9. Subscription Terms
This section outlines the terms for using subscription-based courses on the Abia State University E-Learning Platform (“Subscription Plans”). By subscribing, you agree to these additional terms.
9.1 Subscription Plans
During an active subscription, you receive a limited, non-transferable license to access courses under the plan. Every course created from a lecturer’s materials must be vetted before being converted into an animated course, and all animated courses remain the exclusive property of the university. Subscription access is non-transferable and may not be shared.
The university reserves the right to revoke access to courses for legal or policy reasons.
9.2 Account Management
Subscriptions can be canceled via the platform’s support page. Cancellation takes effect at the end of the billing cycle, and refunds are not issued unless required by law.
9.3 Free Trials & Renewals
Some plans may offer a free trial, subject to eligibility. If not canceled before the trial ends, subscriptions renew automatically.
9.4 Payments & Billing
Subscription fees are listed at checkout. Payments are non-refundable, and automatic renewal applies unless canceled. Failure to process payments may result in account suspension.
9.5 Usage Restrictions
Subscribers may not misuse interactive learning environments, exceed usage limits, or disrupt platform operations.
9.6 Subscription Disclaimers
The university does not guarantee the availability of any specific content and may modify or discontinue plans at its discretion.
10. Miscellaneous Legal Terms
These Terms are essentially a legal contract between us and you, outlining the important rules and guidelines for using our platform. While they might seem tedious, they are essential to protect both parties and clarify the legal relationship between us. These terms cover everything from the rights and responsibilities of each party to how disputes will be handled. They are put in place to ensure smooth operations and prevent any misunderstandings, so it’s crucial that you read and understand them before using our services.
10.1 Binding Agreement
By using the Abia State University E-Learning platform, you agree to enter into a legally binding contract with the university. If you do not agree to these Terms, do not use any part of the E-Learning Services.
If you are a lecturer accepting these Terms on behalf of the university or any department, you confirm that you are authorized to do so.
Any translations of these Terms provided in languages other than English are for convenience. In case of any discrepancies, you understand and agree that the English version of the Terms will prevail.
These Terms (including any linked agreements and policies) represent the full and complete agreement between you and Abia State University. This includes, if applicable, the Instructor Terms, Promotions Policy.
If any provision of these Terms is deemed invalid or unenforceable by applicable law, that provision will be replaced with a valid provision that most closely aligns with the original intent, while the remaining Terms will continue to apply.
Failure or delay in exercising any right under these Terms does not constitute a waiver of that right, and the university may choose to enforce it at any time in the future. Similarly, if the university waives a right in a specific instance, it does not mean it waives it generally or for future occurrences.

10.2 Disclaimers
It is possible that the Abia State University E-Learning platform may be unavailable, either due to planned maintenance or unexpected technical issues. Additionally, we may face security concerns or other disruptions. These are just examples. By using the platform, you accept that you will not hold the university or its affiliates responsible in such situations where things don’t function as expected.
In legal terms, the Services and their content are provided on an “as is” and “as available” basis. Abia State University (and its affiliates, suppliers, partners, and agents) makes no representations or warranties regarding the suitability, reliability, availability, timeliness, security, lack of errors, or accuracy of the platform. We expressly disclaim any warranties or conditions (express or implied), including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not guarantee specific results from your use of the platform. Some jurisdictions may not allow the exclusion of implied warranties, so some of these exclusions may not apply to you.
The university may decide to stop offering certain features or services at any time, for any reason, without prior notice. Under no circumstances will Abia State University or its affiliates, suppliers, partners, or agents be liable for any damages arising from such interruptions or unavailability of features.
We are not responsible for delays or failure to perform any of our Services caused by events outside of our reasonable control, such as acts of war, natural disasters, power outages, internet or telecommunication disruptions, or government-imposed restrictions.
